Who helps me through the paperwork and the closing?
Your transactional attorney drafts and negotiates the purchase agreement; we coordinate the process around it — the data room, the buyer's diligence requests, the employment and lease documents, and the sequence of closing conditions — and we help you select the attorney in the first place.
Once a letter of intent is signed, the work shifts. There is an asset purchase agreement, an employment agreement, usually a lease assignment or a real estate discussion if you own the building, and a diligence process that will ask you for things you have never been asked for.
We do not draft or negotiate your purchase agreement. Your attorney does that, and it should be an attorney who does transactions rather than the one who wrote your lease or your will. What we do is keep the process moving, make sure diligence requests are answered promptly and accurately, and flag the terms that matter for your life after closing rather than only the ones that matter for the price.
We will also help you find that attorney and, where we can, help you negotiate a flat fee rather than an open hourly engagement.
