What is a data room, and what goes in it?
A data room is a secure, access-controlled repository holding everything a buyer needs to evaluate your practice: three years of profit and loss statements, tax returns, trailing twelve-month production, individual doctor production, staffing and payroll detail, the lease, and equipment schedules.
Gathering this is the part that takes longest, and it is almost always the owner's side that sets the pace. We allow three to six weeks, because unless you know your practice management software well, pulling every report takes time you did not expect it to take.
The value of doing it properly is that a buyer's questions get answered in the data room rather than by a phone call to you. Diligence moves faster, and it moves without disturbing the practice.
Access is controlled and logged. No buyer enters the data room without a current non-disclosure signed within the last twelve months — if the one we hold is older than that, we get a new one before they see anything.
